Customisation Agreement – Terms & Conditions

1. Agreed Customisation Scope

The Company will undertake only the customisation requirements specifically mentioned and agreed upon in this Agreement.

The Customer acknowledges that the Company's responsibility and obligation under this Agreement are strictly limited to the customisations described in the agreed scope.

2. Customisation Charges

Customisation may involve additional development, infrastructure, third-party services, API usage, hosting, maintenance, or other related costs.

The Customer agrees that additional charges may be incurred for the agreed customisation, wherever applicable. The applicable charges will be communicated and agreed upon by the Customer before the relevant development work is commenced.

3. No Additional Customisation Under This Agreement

The Company will not be obligated to undertake any customisation, modification, feature, workflow, integration, or functionality that is not specifically mentioned in this Agreement.

Any requirement outside the agreed scope will be treated as a separate customisation request.

4. Future Customisation Requests

The Customer may request additional customisations while using the product in the future. However, such requests will not be covered under this Agreement.

If the Customer requires any additional customisation beyond the scope of this Agreement, the Company may evaluate the request separately and, if accepted, the parties shall enter into a new/separate Customisation Agreement or Order specifying the scope, charges, timelines, and applicable terms.

The Company is under no obligation to accept or develop any future customisation request.

5. Changes to Agreed Requirements

Once the scope has been approved and development has commenced, any change, addition, modification, or new requirement requested by the Customer may be considered additional work and may result in additional charges and/or changes to the delivery timeline.

6. Third-Party Services and Charges

Where the customisation requires third-party services, APIs, software, hosting, messaging services, licenses, subscriptions, or other external resources, the associated charges may be payable separately by the Customer.

7. Development Timeline

The estimated timeline for completion will depend on the complexity and scope of the agreed customisation. Any delay caused by changes in requirements, Customer approvals, third-party services, technical dependencies, or circumstances beyond the Company's reasonable control may affect the delivery timeline.

8. Testing and Acceptance

Upon completion of the agreed customisation, the Customer may review and test the functionality. Any issues relating to the originally agreed scope will be addressed as reasonably applicable.

Requests for new functionality or changes that were not included in the original scope will be treated as additional customisation.

9. Cancellation

If the Customer cancels the customisation after development or related work has commenced, the Company may charge the Customer for the work completed, resources utilised, and costs incurred or committed up to the date of cancellation.

10. Technical Feasibility

The Company reserves the right to determine the technical feasibility of any customisation request. A request may be modified, deferred, or declined if it is technically infeasible, conflicts with the product architecture, creates security or compliance concerns, depends on third-party limitations, or requires unreasonable resources.

11. Product Updates and Standard Features

A customisation developed specifically for the Customer will not automatically become a standard feature of the product. The Company may, at its discretion, incorporate similar functionality into future versions or updates of the product.

12. Customer Responsibility

The Customer shall provide accurate requirements, information, approvals, access, content, credentials, and other necessary dependencies required for the development and implementation of the agreed customisation.

Any delay caused by the Customer's failure to provide the required information, access, or approval may affect the delivery timeline.

13. Entire Agreement for Customisation

This Agreement represents the complete understanding between the Company and the Customer regarding the customisation requirements specified herein.

No verbal discussion, informal request, email, chat message, or other communication shall be considered part of the agreed customisation scope unless it is formally incorporated into this Agreement or otherwise approved in writing by both parties.

14. Customer Acknowledgement and Acceptance

By signing this Agreement, the Customer confirms that:

  • They have read and understood the complete Agreement.
  • They agree to all the terms and conditions stated herein.
  • They acknowledge that only the customisations specifically listed in this Agreement are covered.
  • They understand that additional charges may apply for the agreed customisation, wherever applicable.
  • They understand that any future or additional customisation request will require a separate agreement and may involve additional charges.
  • They understand that the Company is not obligated to provide any customisation that is outside the scope of this Agreement.
